01Acceptance of Terms

Welcome to the official website of the National Artificial Intelligence Association ("NAIA," "we," "us," or "our"), a Washington, D.C.-based nonprofit business coalition representing companies and organizations in the artificial intelligence industry. These Terms of Service ("Terms") govern your access to and use of our website located at thenaia.org, including any content, functionality, and services offered on or through the website (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services. We recommend that you print or save a local copy of these Terms for your records.

The Services and their entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof — are owned by NAIA, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The NAIA name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NAIA or its affiliates. You must not use such marks without the prior written permission of NAIA. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services, except as generally and ordinarily permitted through the Services according to these Terms.

04User Conduct

You agree not to engage in any of the following prohibited activities in connection with the Services:

• Using the Services for any illegal purpose or in violation of any local, state, national, or international law;
• Impersonating or attempting to impersonate NAIA, a NAIA employee, another user, or any other person or entity;
• Interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services;
• Attempting to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services;
• Using any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission;
• Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
• Collecting or harvesting any personally identifiable information from the Services, including account names;
• Using the Services to send unsolicited commercial communications or spam;
• Using the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services.

05Membership Terms

NAIA offers membership to eligible companies and organizations in the artificial intelligence industry. Membership in NAIA is governed by separate membership agreements, bylaws, and policies provided to members upon enrollment.

These Terms do not supersede, modify, or replace any membership agreement you may have with NAIA. In the event of a conflict between these Terms and your membership agreement, the membership agreement shall control with respect to the rights and obligations arising from your membership.

06Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER NAIA NOR ANY PERSON ASSOCIATED WITH NAIA MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

WITHOUT LIMITING THE FOREGOING, NEITHER NAIA NOR ANYONE ASSOCIATED WITH NAIA REPRESENTS OR WARRANTS THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, NAIA HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

07Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL NAIA, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

08Indemnification

You agree to defend, indemnify, and hold harmless NAIA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

09Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the District of Columbia, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the District of Columbia. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

10Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
